These Terms and Conditions ("Terms") apply to your registration for and participation at a conference or invite-only event ("Event") hosted by Modal Labs, Inc. or one of its affiliates ("Company," "we," "us," or "our"). By RSVP'ing, participating in, or attending an Event, you acknowledge that you have read, understand, and agree to the following Event Terms.
You may only register for and attend the Event in accordance with these Terms. To register for the Event, you must complete the applicable Event registration process and pay any applicable registration fee(s). Event registration is subject to availability, and we may change the Event program at any time or cancel events, as determined solely by us.
Registration may not be shared with any individual other than myself.

You understand that you and your property may be subject to a reasonable search upon entry to the Event. If you refuse to participate in our security measures, you may be denied entry to the Event.
Event representatives reserve the right to ask you to leave the Event if:
If we or an Event representative denies you entry or requires you to leave, you will not receive a refund if you paid any fees.
The building or venue may have public health-related requirements in place, and you agree to abide by those requirements when disclosed by the venue.
For the avoidance of doubt, any unlawful behavior may be reported to the authorities and result in legal action.
We reserve the right in our sole discretion at any time to prohibit certain competitive behavior and/or the attendance or sponsoring of Company events by directly competitive companies.
To maintain a fair and professional environment for our sponsors and attendees, we reserve the right to prohibit any non-sponsoring company or individual from distributing flyers, leaflets, marketing materials, conducting product demonstrations, or otherwise publicly promoting their products or services within the Event venue.
We handle any information or materials provided or presented by you to us (i.e., your contact information) in accordance with our Privacy Policy. We may use and/or share such information with Event sponsors and/or trusted business partners, including (without limitation) event agents and providers for purposes of planning, hosting, and administering the Event, communicating about Event sponsor/partner products, services, news, and events, and marketing by the Company and/or its Event sponsors/partners.
We may also provide your contact information to Event sponsors or select partners, and they may use your information in accordance with their own privacy policies.
By participating in the Event, you agree that the Company, Event sponsors, and our partners may document, film, photograph, and capture your voice and image in any media at an Event ("Photos and Recordings").
You irrevocably and perpetually release and authorize us, our agents, employees, Event sponsors, and partners to use, reproduce, modify, distribute, and translate, for any purpose relating to the Company's or the Event sponsor's business, all or any part of the Photos and Recordings in any media now or hereafter created throughout the world.
You also agree that if you take any photos and/or recordings at the Event and provide them to us, you authorize us to use them in the same fashion, and represent that participants and attendees featured have also consented to such use.
You irrevocably and perpetually waive all legal and equitable rights (e.g., copyright or trademark infringement, moral rights, privacy rights, publicity rights, libel, defamation) arising from the Photos and Recordings.
You acknowledge that you may provide ideas, suggestions, recommendations, or improvements ("Feedback") to the Company before, during, or after your participation at the Event. You assign and agree to assign to the Company all right, title, and interest in such Feedback. You agree to reasonably assist the Company in perfecting any rights to such Feedback.
If registration or other fees are required, cancellation instructions and the refund policy, if applicable, will be listed on the Event registration page or website.
We may cancel all or any part of the Event at any time for any reason, and may deny, limit, or cancel your Event registration at any time. The Company is not responsible for any damages, direct or indirect, resulting from such cancellation. If we cancel the Event, refunds will be issued in accordance with the applicable refund policy.
If the Event is canceled, or after the Event date if the Event occurs, those sections of these Terms intended to survive shall remain in effect.
You acknowledge that attending and participating in the Event is completely voluntary. You agree that you have carefully considered the risks (including any health-related risks) inherent in any activities you choose to take part in and that you have taken reasonable precautions before attending. To the maximum extent permitted by law, you knowingly and voluntarily assume the risks associated with attending the Event.
To the maximum extent permitted by law, you (and anyone making a claim on your behalf) release, waive, and discharge the Company, our affiliates, partners, directors, officers, employees, contractors, representatives, volunteers, agents, successors, and assigns, from any and all claims, demands, damages, or expenses ("Claims") related to the Event, Photos and Recordings, and/or Feedback.
You expressly acknowledge and waive any applicable rights under Section 1542 of the California Civil Code (and similar laws) pertaining to unknown claims.
Our maximum aggregate liability in connection with these Terms, the Event, Photos and Recordings, and/or Feedback will not exceed the greater of $100 and the Event registration fees paid by you to the Company, if any. We are not liable for consequential, punitive, or incidental damages of any kind, regardless of claim type. These limitations apply to the maximum extent permitted by law.
You agree to indemnify and hold the Company, our affiliates, partners, directors, officers, employees, contractors, representatives, volunteers, agents, successors, and assigns harmless, including costs, liabilities, and legal fees, from any third-party Claims related to your attendance or conduct at the Event.

This Code of Conduct outlines the expectations for behavior and the consequences of unacceptable conduct during any online or offline conference or invite-only event ("Event") hosted by Modal Labs, Inc. or one of its affiliates ("Company," "we," "us," or "our").
This Code of Conduct applies to all attendees, speakers, sponsors, vendors, organizers, volunteers, and other participants ("Event Members") at any Company event, whether in-person or virtual.

Unacceptable behavior will not be tolerated. Anyone asked to stop unacceptable behavior is expected to comply immediately. If a participant engages in unacceptable behavior, the Company may take any action deemed appropriate, including warning the offender, expulsion from the Event without refund, banishment from future Events, and/or notification to legal authorities.
If you are subjected to unacceptable behavior, notice that someone else is being subjected to unacceptable behavior, or have any other concerns, please notify a Company staff member as soon as possible.

We expect all Event Members to abide by this Code of Conduct in all venues, including ancillary events and social gatherings associated with the Event.
